These Terms & Conditions explain the rules for subscribing to and using Conecta Suite Pro, a business management and CRM platform. Please read them with the Cancellation Policy and Privacy Policy.
1. Acceptance and business use
These Terms govern access to and use of Conecta Suite Pro (the “Service”) by the subscribing customer and its authorized users. “We,” “us,” and “our” refer to CONECTA USA BUSINESS FL LLC. The person creating an account or placing an order represents that they have authority to do so for the customer.
For a new purchase, acceptance may be recorded through an account registration, purchase, acceptance checkbox, signed order, or other clear agreement process. Continued use after notice of a material update may constitute acceptance only where applicable law permits and the customer has received appropriate notice. Publishing these Terms alone does not retroactively bind an existing customer who never agreed to them.
The Service is primarily intended for business and professional use. Customers must provide accurate account information and use the Service in compliance with applicable law.
2. Accounts and security
The customer is responsible for its account information, safeguarding credentials, activities of authorized users, and granting or removing employee access. Users must not share credentials in a way that defeats account security. Please promptly notify us through the email address info@conectasuitepro.com if you suspect unauthorized access. We may take reasonable steps to protect an affected account.
3. Plans, recurring billing, and pricing
Basic, Growth, and Pro provide different company and resource capacities. The applicable plan or order page states the features, limits, and monthly price purchased. Unless a separate written arrangement says otherwise, subscriptions renew automatically each month until canceled. By subscribing, the customer authorizes recurring charges to its selected payment method at each renewal, plus applicable taxes. Billing continues until cancellation becomes effective.
Promotional and negotiated offers
We may offer introductory, founder, limited-time, or negotiated pricing to selected customers. The specific offer, checkout, order form, agreement, or subscription schedule must disclose the promotional rate, its duration, and any future standard rate before purchase. At the end of a disclosed introductory period, the subscription may continue automatically at the disclosed rate unless canceled. A promotion does not permanently change the public standard price unless its written terms expressly say so.
Changes to standard prices
We may change standard prices. For an existing subscription, we will give advance notice before a new price applies, unless the customer already agreed to a future pricing schedule at purchase. The customer may cancel before the new price takes effect, subject to applicable law and any written agreement. We will not apply an undisclosed new rate retroactively.
4. Payment authorization, taxes, and Stripe
When purchasing a subscription, the customer authorizes us and our payment provider to charge the selected payment method according to the applicable order and renewal schedule. A third-party provider such as Stripe may process subscription payments under its own terms. Payment providers handle payment-card processing under their own terms and privacy notices.
Taxes may be calculated, collected, or remitted where required. The customer remains responsible for taxes applicable to its own business and transactions, except taxes imposed on our income.
Separately from paying for the Conecta Suite Pro subscription, each operating company may connect one of its own Stripe accounts inside the Service. Those connected accounts are governed by the business’s agreement with Stripe. Conecta Suite Pro is not Stripe and does not become the merchant of record, bank, payment processor, escrow provider, or custodian for the customer’s own transactions merely because an account is connected. Customer business payments are processed through the business’s connected Stripe account; we do not own or hold those funds.
5. Cancellation, refunds, and plan changes
Monthly subscriptions continue until canceled. To avoid another renewal charge, customers should cancel before the next renewal using an available customer portal or the official support channel described in our Cancellation Policy. Cancellation ordinarily takes effect at the end of the current paid billing period unless a written agreement or applicable law requires otherwise. Once cancellation is effective, no further recurring subscription charge should be made; amounts already owed remain payable.
Fees already charged are generally non-refundable and are not prorated for unused time in a billing period, except where required by law or expressly agreed by us in writing. Upgrades, downgrades, and additional capacity may change the price or limits. Any separate charge and effective date will be disclosed before the change is ordered.
6. Users, company accounts, and shared capacity
Internal users and CRM contacts are unlimited on the applicable published plans. The customer controls which users can access its account and is responsible for removing access when no longer appropriate. Company capacity depends on the purchased plan and any separately ordered additions. Website, catalog, storage, and active marketing contact limits are shared across the full customer account, not allotted separately to each company.
For Pro, “unlimited companies” means companies belonging to the same owner, holding, or related business group. Independent third-party client companies, white-label accounts, resale, and Service Bureau activity are not included and require a separate written arrangement if offered. The Service is not a general-purpose platform for reselling accounts to unrelated clients.
7. Websites, domains, marketing, and storage
Websites and domains
Some plans include website and catalog capacity. Customers purchase and maintain their own domains with a third-party registrar of their choice and remain responsible for registration, ownership, renewal, and registrar charges. Conecta Suite Pro does not sell customer domains. Mentioning a registrar does not make it an official partner.
Email marketing
CRM contacts are unlimited; active marketing contacts are the addresses enabled to receive email campaigns and are limited by plan. The number of campaigns may be unlimited within the plan’s active marketing contact allowance and applicable acceptable-use rules. Customers are responsible for lawful consent, unsubscribe mechanisms, accurate sender information, and compliance with anti-spam and marketing laws. Purchased, scraped, unauthorized, deceptive, or abusive lists are prohibited. We may reasonably restrict abusive sending to protect security and deliverability.
Files and backups
File storage limits depend on the selected plan. Customers should keep appropriate independent copies of critical business records and export important data before account closure. These Terms do not promise unlimited storage or any specific post-termination retention period.
8. Customer content, privacy, migration, and support
The customer retains ownership of the information, files, contacts, websites, and other content it submits to the Service (“Customer Content”). The customer grants us only the rights reasonably necessary to host, process, transmit, back up, display, and otherwise handle Customer Content to provide and support the Service, subject to the Privacy Policy and applicable law. The customer is responsible for having rights to the content it uploads and for its accuracy and lawful use.
Initial data migration assistance and customer support are included with each plan. The customer must provide accessible, exportable source data and reasonable cooperation. We are not responsible for errors already present in source data. Unusual data reconstruction, custom engineering, or integrations may require a separate scope and quotation disclosed in advance. Support availability is described through the official support channel; these Terms do not promise round-the-clock coverage or a fixed response time.
Third-party products, including Stripe, domain registrars, email infrastructure, and optional integrations, may have their own terms, fees, and availability. We are not responsible for those providers’ independent acts or outages, except as required by law or a separate written agreement.
9. Acceptable use, intellectual property, and feedback
Customers and users must not use the Service for unlawful activity, fraud, unauthorized access, malware, spam, deception, infringement, abuse of others, circumvention of plan limits, or attempts to disrupt or compromise security. Customers must respect third-party rights and applicable laws. We may investigate credible misuse and take proportionate action consistent with these Terms.
The Service, software, brand, interface, designs, logos, documentation, and proprietary technology remain the property of CONECTA USA BUSINESS FL LLC or its licensors. During an active subscription, the customer receives a limited, nonexclusive right to use the Service for its internal business purposes in accordance with these Terms. No ownership of the Service is transferred.
If a customer voluntarily sends product feedback, we may use that feedback to improve the Service without owing compensation. This does not transfer ownership of the customer’s confidential business information or Customer Content.
10. Availability, product changes, suspension, and termination
We work to maintain a reliable Service, but cannot guarantee uninterrupted or error-free operation. No particular uptime service-level commitment is created by these Terms. We may improve, modify, add, or remove functionality while maintaining the overall purpose of the subscribed service. Material changes affecting a subscription will be communicated appropriately.
We may suspend access when reasonably necessary for non-payment, a security threat, fraud, illegal use, material breach, or abuse of infrastructure. When practical and appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Immediate action may be required to protect users, data, or the Service.
On expiration or termination, access to the Service may end and unpaid charges remain due. Customers should export important information before closure. Data retention and deletion after termination remain subject to the Privacy Policy, applicable law, and documented internal practices. We do not guarantee that data will remain available after account closure; customers may contact us about available export options before termination.
11. Warranties, liability, and indemnity
Except for any express commitments in an applicable written order and to the extent permitted by law, the Service is provided without a guarantee that it will be uninterrupted, error-free, or suitable for every customer-specific purpose. Nothing in this section excludes rights that cannot lawfully be excluded.
To the extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues, arising from the Service, even if advised of the possibility. Our aggregate liability arising from these Terms or the Service is limited to the subscription fees the customer paid us during the twelve months before the event giving rise to the claim. This limit does not apply to liability that cannot be limited by law or to a party’s fraud or willful misconduct.
The customer will defend and indemnify us against third-party claims arising from its unlawful Customer Content, infringement of third-party rights, or material misuse of the Service, to the extent caused by the customer and permitted by law. We will give prompt notice of a claim and reasonable cooperation. No settlement that imposes a non-monetary obligation on us may be entered without our written consent.
12. Governing law, updates, notices, and general terms
Subject to any non-waivable law, the laws of the State of Florida govern these Terms, without regard to its conflict-of-law rules. Disputes may be brought before a court with jurisdiction under applicable law. These Terms do not require arbitration or waive class-action rights.
We may update these Terms. We will give appropriate notice of material changes and identify the updated effective date. Changes will not retroactively alter completed billing periods or bind existing customers without a lawful basis for acceptance.
Customers agree to receive account, billing, security, and contractual notices electronically through the contact details they provide or the Service, subject to applicable law. They must keep those details current.
These Terms, the applicable order or subscription schedule, and linked policies form the agreement for the Service, except for a separately signed agreement that expressly controls. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. Neither party may assign its rights or obligations contrary to applicable law or without required consent; an assignment in a merger or sale of substantially all relevant assets may be permitted if the assignee assumes the obligations. Provisions that by their nature should survive termination—including accrued payment duties, ownership, and appropriate liability terms—survive to the extent applicable.
